These terms are the agreement between your institution and ICT Vision for the ICT Exam platform and any related hosted service. By subscribing, signing in, or letting your students sit an exam on the platform, you accept them.

Who this agreement is with

The customer is the institution, not the individual. A school, college, university or training provider subscribes, and that institution is responsible for everything done under its account.

Accounts and access

When you register, give us information that's true, current and complete, and update it when something changes. We rely on it for billing and for support.Your administrator creates teacher accounts and controls who has access. Keep those credentials confidential. You're responsible for what happens under your account, including what your users do, so tell us straight away if you think a password or an account has been compromised. If you don't, we can't be responsible for the resulting loss.Students are different. A published exam produces a link, and a student opens it without registering, so there's no student account and no student password to protect. Deciding which students get which link is your call.

Using the platform properly

Use ICT Exam for assessment and teaching, and follow the law that applies where you and your users are.

• Don't try to break, overload or probe the platform, and don't attempt to reach data belonging to another institution.
• Don't reverse engineer, copy, resell or white label the platform unless we've agreed that in writing.
• Don't upload malware, and don't upload content you don't have the rights to. If you import a past paper, you're confirming you're allowed to use it.
• Don't share teacher or administrator credentials with students.
• Don't use the platform to harass anyone or to store material that's unlawful where you operate.

We ask you not to put special category data such as health records into exam content. The platform isn't designed to hold it.

Students and age

ICT Exam is sold to institutions, and we expect that many of the students taking exams on it are minors. That's fine, and it's why students never register with us. Where you use the platform with pupils under 13, you provide the notice and consent your local law requires before you send us their data. We act on your instructions and don't market to students.

Who owns what

Your content stays yours. Question papers you upload, questions your teachers build, student answers, marks and grading notes belong to your institution, and we don't use them for anything except running the service for you. You give us the permission we need to host, process and display that content so the platform can do its job.The platform itself stays ours. The software, the interface, the ICT Exam and ICT Vision names and everything we've built around them are our property, and nothing here transfers them to you. You get the right to use the platform for as long as your subscription is active.

AI assistance and academic responsibility

This part matters, so we'll be plain about it.ICT Exam uses AI to read uploaded papers, to organise extracted text into questions, and to help score written and essay answers. In every one of those steps a teacher reviews the result and confirms it. AI doesn't release a grade on its own.That means the academic decision is yours. Marks, grades, pass or fail outcomes, appeals and any consequence that follows from them are your institution's responsibility, not ours. Parsing can misread a scan, and AI scoring can be wrong, which is exactly why a teacher signs off. Don't treat an unreviewed AI score as a result.

Connecting your LMS

If you connect ICT Exam to your own LMS over LTI 1.3, you're responsible for configuring your side correctly and for the identifiers your LMS sends us. Grade passback writes to your gradebook, and your gradebook remains your system of record. Each LMS issuer is a separate tenant key, so your data stays isolated from other institutions.

Fees and payment

The platform is prepaid. Your subscription and any usage balance are paid in advance, at the prices published or quoted at the time you order, and access depends on those payments being up to date.

• The monthly or annual subscription covers hosting and the platform itself.
• AI usage runs on a prepaid balance, which you top up as you need it.
• Setup fees and support packages are billed separately where they apply.

Payment is handled by an established payment merchant, so your card or bank details never reach us. Whatever agreement you have with that merchant applies on top of these terms, and we're not responsible for a failure or delay on their side.Taxes are yours to pay where your local law charges them. We can change our prices, and when we do we'll publish the change on our websites. A price change won't apply to a period you've already paid for.Refunds are covered separately in our Refund Policy.

Availability and support

We work to keep the platform available and we'll give notice of planned maintenance where we reasonably can. We don't promise uninterrupted service on a standard subscription. If your institution needs a service level commitment in writing, ask before you sign and we'll tell you honestly what we can agree to.Support runs through our ticket system so there's a record of what was asked and what we did about it.

Changing the platform and these terms

We improve ICT Exam continuously, so features change. We can modify or discontinue part of the platform, and we can update these terms. For a change that materially affects institutions or student data, we'll tell account holders rather than rely on you spotting it here, and we'll move the effective date at the top of this page.

Suspension and termination

You can cancel at the end of a billing period by opening a ticket.We can suspend or end an account that breaches these terms, that hasn't paid, or that's putting the platform or other institutions at risk. Where the situation allows it we'll raise the problem with you first. We also reserve the right to decline a subscription.When an account closes, your exam content and student records are removed once any outstanding billing and legal obligations are settled, on the timeline in our Privacy Policy. Export what you need before you close the account.

Data protection

For student data inside ICT Exam you're the controller and we're the processor. We handle that data on your instructions and for no other purpose, and under FERPA we act as a school official performing a service you'd otherwise perform yourself. The detail is in our Privacy Policy, and we'll sign a data processing agreement if your procurement process needs one.

Warranties

The platform is provided on an as is and as available basis. Beyond what these terms say and what the law requires of us, we don't make other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.In particular we don't warrant that the platform will meet every requirement you have, that it will run uninterrupted or error free, that AI parsing and AI scoring will be accurate, or that every defect will be fixed.

Limits on liability

To the extent the law allows it, we're not liable for indirect, incidental, special or consequential loss, and that includes lost profits, lost goodwill, lost data and other intangible loss, arising from your use of or inability to use the platform, from unauthorised access to or alteration of your data, from the conduct of a third party on the platform, or from the cost of replacing the service.Where we are liable, our total liability is limited to the fees you paid us in the twelve months before the claim arose.Nothing here limits liability that can't be limited under the law that applies to you.

Your responsibility to us

If a claim is brought against us because of content you put into the platform, because of how you used it, or because you didn't get the consents your local law required, you'll cover the reasonable cost of dealing with that claim.

Governing law

This agreement is governed by the law of the region where ICT Vision has its registered head office, and it's the whole agreement between us on this subject, replacing anything discussed before it. If a court finds one clause unenforceable, the rest stays in force. If we don't enforce a right straight away, we haven't given it up.
